Terms of Service

1. Acceptance of Terms

By creating an account or using FieldNav, you confirm that you are at least 18 years of age, have the legal authority to enter into this agreement, and agree to comply with these Terms and all applicable laws and regulations.

2. Description of Service

FieldNav is an agricultural navigation application that allows users to:

• Search for fields by legal description (e.g., SW 12-8-37)
• View field locations on satellite maps with section overlays
• Navigate to field entrances with turn-by-turn directions
• Save and organize field collections
• Log field notes including spraying, scouting, rainfall, and harvest records
• Share field locations with other users

The App is currently available for fields in Nebraska, with additional states planned for future releases.

3. User Accounts

You may be required to create an account to access certain features. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activity that occurs under your account
• Notifying us promptly of any unauthorized use

We reserve the right to suspend or terminate accounts that violate these Terms.

4. License Grant

Subject to your compliance with these Terms, AgWorks Software grants you a limited, non-exclusive, non-transferable, revocable license to download and use the App on Apple-branded devices you own or control, solely for your personal or internal business purposes.

5. Prohibited Uses

You agree not to:

• Reverse engineer, decompile, or disassemble the App
• Use the App for any unlawful purpose
• Distribute, sell, or sublicense the App to any third party
• Use the App to collect or harvest data about other users without consent
• Interfere with or disrupt the App's servers or networks
• Upload or transmit any viruses, malware, or other harmful code

6. Location Data and Privacy

FieldNav uses your device's location services to provide navigation features. By using the App, you consent to the collection and use of your location data as described in our Privacy Policy. Location data is used solely to deliver navigation and field-finding features within the App.

7. User-Generated Content

You retain ownership of content you submit to FieldNav, such as field notes and saved locations. By submitting content, you grant AgWorks Software a limited license to store and display that content to you within the App. You are solely responsible for the accuracy and legality of content you submit.

8. Intellectual Property

The App, including all content, features, and functionality, is owned by AgWorks Software and protected by copyright, trademark, and other intellectual property laws. You may not use our trademarks, logos, or other proprietary information without our prior written consent.

9. Third-Party Services

FieldNav may use third-party mapping and navigation services (including Apple Maps). Your use of those features is subject to the terms and privacy policies of those third-party providers. We are not responsible for the accuracy or availability of third-party services.

10. Disclaimer of Warranties

THE APP IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, AGWORKS SOFTWARE DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the App will be uninterrupted, error-free, or that field data and legal descriptions will always be accurate or current. Users should verify field locations independently before making operational decisions.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AGWORKS SOFTWARE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE APP.

Our total liability to you for any claim arising from these Terms or your use of the App shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless AgWorks Software and its officers, directors, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the App, your violation of these Terms, or your violation of any third-party rights.

13. Apple App Store Terms

If you downloaded FieldNav from Apple's App Store, you also agree to the following:

• These Terms are between you and AgWorks Software only, not with Apple, Inc.
• Apple has no obligation to provide any maintenance or support for the App.
• In the event the App fails to conform to any applicable warranty, you may notify Apple for a refund of the purchase price (if any). Apple has no other warranty obligation with respect to the App.
• Apple is not responsible for addressing any claims relating to the App, including product liability, consumer protection, or intellectual property claims.
• Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.

14. Termination

We may terminate or suspend your access to the App at any time, with or without cause or notice. Upon termination, your right to use the App ceases immediately. Provisions that by their nature should survive termination will remain in effect, including sections on intellectual property, disclaimers, and limitation of liability.

15. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by updating the effective date at the top of this document or through in-app notification. Your continued use of the App after changes are posted constitutes your acceptance of the revised Terms.

16. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Nebraska, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Nebraska.
